Terms & Conditions
Please read these terms carefully before engaging our services. By working with us, you agree to these terms.
1. Introduction
These Terms & Conditions (“Terms”) govern the relationship between Cyborg Media Tech (“we”, “us”, “our”) and you (“the Client”) when you engage our paid advertising management services. By signing a proposal, paying an invoice, or otherwise instructing us to begin work, you agree to be bound by these Terms.
2. Our Services
Cyborg Media Tech provides performance marketing services including, but not limited to: Meta Ads (Facebook & Instagram) management, Google Ads management, LinkedIn Ads, YouTube Ads, Bing Ads, Pinterest Ads, Snapchat Ads, creative production, strategy consultancy, and analytics reporting. The specific services to be provided will be outlined in a proposal or service agreement agreed between both parties.
3. Fees & Payment
- Management fees are charged monthly in advance and are due on the agreed billing date.
- Ad spend is paid directly by the client to the relevant advertising platforms (Meta, Google, etc.) and is not included in our management fees unless explicitly stated.
- Invoices are payable within 7 days of issue. Late payments may incur a 5% monthly interest charge.
- We reserve the right to pause campaign management if invoices remain unpaid beyond 14 days.
- All fees are exclusive of applicable taxes unless stated otherwise.
4. Contract Duration & Cancellation
Our services operate on a rolling monthly basis unless a fixed-term agreement has been signed. Either party may terminate the agreement by providing a minimum of 30 days written notice by email. Upon termination, all campaign assets, account access, and data belonging to the client will be returned within 5 business days.
5. Client Responsibilities
To enable us to deliver our services effectively, you agree to:
- Provide timely access to all required ad accounts, analytics platforms, and creative assets
- Review and approve or provide feedback on ad creative within 48 hours of submission
- Maintain sufficient ad spend budget to support the agreed campaign strategy
- Ensure your business, products, and advertising comply with all relevant platform policies and laws
- Notify us promptly of any material changes to your business, products, or pricing
- Attend scheduled strategy calls as agreed
6. Intellectual Property
All ad creative, copy, strategies, and reports produced by Cyborg Media Tech on your behalf remain your property upon full payment of all outstanding fees. We retain the right to reference your business as a client for portfolio and marketing purposes unless you request otherwise in writing.
7. Confidentiality
Both parties agree to keep confidential all non-public information shared during the course of the engagement. This includes, but is not limited to, business strategies, financial data, and proprietary processes. This obligation survives termination of the agreement.
8. Performance & Results
While we are committed to delivering the best possible results for our clients, we cannot guarantee specific outcomes. Advertising performance is influenced by many factors including market conditions, competition, platform algorithm changes, product quality, and website conversion rates. Our 60-Day Performance Guarantee (detailed in our Refund Policy) represents our commitment to your success.
9. Limitation of Liability
To the fullest extent permitted by law, Cyborg Media Tech shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to our services. Our total liability to you for any claim shall not exceed the total fees paid to us in the three months preceding the claim.
10. Warranties & Representations
You warrant that:
- You have the authority to enter into this agreement
- All information provided to us is accurate and not misleading
- Your products, services, and advertising materials comply with all applicable laws and platform policies
- You will not use our services for any unlawful purpose
11. Platform Policy Compliance
We manage campaigns on third-party platforms (Meta, Google, LinkedIn, etc.) subject to those platforms’ own terms and policies. We are not liable for changes to platform policies, account restrictions, or ad disapprovals where the cause is outside our control. We will always advise on best practices to maintain compliance.
12. Data Protection
Both parties agree to comply with all applicable data protection legislation. Where we process personal data on your behalf, we act as a data processor and you act as the data controller. Please refer to our Privacy Policy for full details.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction of the client’s country of residence or incorporation. In the absence of a specific jurisdiction, the parties agree to resolve any disputes through good-faith negotiation prior to any legal proceedings.
14. Amendments
We may update these Terms from time to time. We will give you at least 14 days’ notice of any material changes. Continued use of our services after that period constitutes acceptance of the updated Terms.
15. Entire Agreement
These Terms, together with any signed proposal or service agreement, constitute the entire agreement between you and Cyborg Media Tech and supersede all prior discussions, representations, or agreements.
